Publisher Terms

The rules of the network.

These terms govern every affiliate and publisher who promotes offers through Leef Digital. You accept them when you apply, and again each time you run an offer.

Version 2026-10 · Effective October 15, 2026

In short. Run only the traffic you were approved for. Follow each offer's rules, including the rules of the advertiser or network behind it. Never alter tracking links. We pay approved conversions weekly unless an offer says otherwise, and we can reverse commissions that our partners reverse or that turn out to be invalid.

This summary is for convenience. The numbered sections below are the agreement.

01

Joining the network

These Publisher Terms (the "Terms") are an agreement between Leef Digital ("Leef Digital," "we," "us") and the person or business that applies to promote offers through our network ("you," "Publisher").

You must give accurate, complete information when you apply and keep it current, including your legal name, business name, contact details, payment details, and every traffic source you intend to use. You may not use aliases or hide your identity. We may approve or decline any application for any reason, and we may ask for identification or business documents at any time.

You must be at least 18 years old and able to enter a binding contract. If you accept these Terms for a business, you confirm you have authority to bind it.

02

Offers and partner terms

Each offer in the network comes from an advertiser, or from another affiliate network that represents an advertiser (each, a "Partner"). Every offer has its own terms, which may include allowed and prohibited traffic sources, geographies, creative rules, caps, conversion definitions, and payment terms (the "Offer Terms").

  1. Partner terms flow down to you. When you run an offer, you agree to follow its Offer Terms and the terms the Partner places on us for that offer, as if you were a party to them. Where a Partner's terms are stricter than these Terms, the stricter rule applies to that offer.
  2. Acceptance per offer. Before you receive a tracking link for an offer, you must confirm in the platform that you have read and accept its Offer Terms. We record that confirmation and may share it with the Partner.
  3. Approval required. You may run an offer only after it is approved for you, and only with the traffic sources approved for that offer.
  4. Offers, payouts, caps, and Offer Terms may change or end at any time. We will tell you as soon as we know. You must stop or adjust traffic promptly when notified.
03

Tracking links

You must use the tracking links we provide exactly as issued. You may add your own sub-ID parameters where the platform allows, but you may not alter, shorten in a way that hides the destination, cloak, redirect through undisclosed intermediaries, or otherwise modify a tracking link, creative, or landing page without our written approval.

Creative and copy supplied with an offer may be used only for that offer, and only while you are approved to run it. You may not make claims about a Partner or its product beyond what the Offer Terms allow, and your media must not imitate a Partner's site or suggest that a Partner endorses you.

04

Traffic standards

Unless an offer's Offer Terms expressly allow it and we approve it for you in writing, you may not use:

  • incentivized traffic, meaning rewards, points, or payment to the user for completing an action;
  • bidding on, or including in ad copy or domains, any Partner brand name, trademark, or misspelling of one;
  • pop-ups, pop-unders, push notifications, or software that inserts ads, unless the source is approved for that offer;
  • posts in chat rooms, forums, comment sections, or bulletin boards;
  • listings on online marketplaces or auction platforms;
  • sub-affiliates or traffic you purchase from other parties, unless you have disclosed them to us by name and we have approved them.

You must never promote offers using content that is illegal, deceptive, defamatory, obscene, sexually explicit, hateful, or that promotes violence, discrimination, or illegal activity, including unlicensed gambling. You must follow all laws that apply to your business and traffic, including advertising, consumer protection, and privacy law, and the policies of every platform you use, such as ad networks, social platforms, and email providers.

05

Email and messaging

  1. Email is allowed only on offers that permit it and only after we approve it for you.
  2. You must comply with the CAN-SPAM Act and every other law that applies to your messages. Every message must include a working opt-out and identify you as the sender.
  3. Before every send, you must download the current suppression list for the offer and remove every address on it. You must never mail, sell, or use a suppression list for any other purpose.
  4. Forward any opt-out request you receive to desk@leefdigital.com within one business day.
  5. If we or a Partner ask to approve a message before it is sent, you must wait for written approval. Our approval does not make the message compliant; compliance remains your responsibility.
  6. SMS and calls require express written approval for the specific offer and must comply with the TCPA and all consent rules.
06

Fraud

You may not generate or attempt to generate clicks, leads, installs, sales, or other conversions by any fraudulent or artificial means. That includes bots, scripts, click farms, cookie stuffing, stealware, spyware, forced or hidden clicks, pre-populated forms, fake or recycled user data, self-conversions, and any attempt to misrepresent where traffic came from.

We and our Partners decide in our reasonable discretion whether activity is fraudulent or invalid. A conversion is valid only if it is a real person who reached the offer through your tracking link as the last click and who completed the action as defined in the Offer Terms.

07

Commissions and payment

  1. What we pay. We pay the payout shown for an offer for each approved conversion. A conversion is approved once it has passed our review and any Partner validation that applies to the offer.
  2. Standard schedule. Unless an offer states different payment terms, approved conversions from Monday through Sunday are paid the following Friday (NET 7), once your balance is at least $500. Balances below $500 roll forward and do not expire.
  3. Offer-specific terms. Some offers carry different payment timing set by the Partner, for example monthly payment or payment after the Partner has paid us. When an offer has its own payment terms, they are shown on the offer and control for that offer.
  4. Paid when we are paid. Our obligation to pay you for a conversion depends on the Partner paying us for it. If a Partner does not pay us for a conversion, or pays us less, we are not obligated to pay you for it, or we may pay you proportionally.
  5. Payment details. You must provide valid payment and tax information (for example a W-9 or W-8). We may hold payments until we have it. You are responsible for your own taxes and any fees charged by your bank or payment provider.
  6. Set-off. We may deduct from any payment any amount you owe us under these Terms.
08

Reversals and clawbacks

We may withhold, reverse, or claw back commissions, including commissions already paid, for any conversion that:

  • a Partner rejects, reverses, refunds, or charges back to us, for any reason;
  • we or a Partner reasonably determine is fraudulent, duplicate, incomplete, or does not meet the Offer Terms; or
  • came from traffic that breached these Terms or the Offer Terms.

If you breach these Terms, or if we receive a complaint that we reasonably believe shows a breach, we may freeze unpaid commissions while we investigate and keep any commissions connected to the breach. Clawed-back amounts are deducted from your balance or future payments, and if your balance is not enough, you agree to repay us within 15 days of our request.

09

Reporting disputes

Our platform's tracking data is the record used to calculate commissions. If you believe your statement is wrong, tell us in writing with supporting detail within 20 days of the statement date. If you track conversions yourself and your numbers differ from ours by more than 10% for a month, send us your report within 2 days after the end of that month and we will review it with you in good faith.

Because our Partners give us short windows to dispute their numbers, we cannot reopen periods after those deadlines. If we cannot agree on a reconciliation, our numbers govern.

10

Identity and disclosure

You agree that we may share your identity, contact details, traffic sources, and conversion data with the Partner behind any offer you run, and with law enforcement or regulators where required or where we reasonably suspect fraud or unlawful activity. If a Partner asks us to remove you from an offer, we will do so, and you must stop sending traffic to it immediately.

11

Confidentiality

Payouts, Offer Terms, Partner identities, advertiser landing pages, performance data, and any other non-public information you receive through the network are confidential. You may use them only to run offers through Leef Digital and may not disclose them to anyone else, except as required by law.

12

Non-circumvention

While you are in the network and for 12 months afterward, you may not contact or contract directly with any Partner or advertiser you were introduced to through Leef Digital in order to run the same or a substantially similar offer outside our network, unless we agree in writing.

13

Your media and privacy

You are solely responsible for your websites, ads, emails, social accounts, and any other media you use (your "Media"), and for all content on or linked from it, other than our tracking links. Your Media must not infringe anyone's intellectual property or other rights.

If you collect personal information from users, you must post a clear privacy policy before collection that explains how you collect, use, and share it, including sharing with us and our Partners, and you must obtain any consent the law requires. You must display any disclosures or offer terms the law or the Offer Terms require, including clear disclosure of your affiliate relationship under FTC endorsement rules.

14

Indemnity and liability

You will defend, indemnify, and hold harmless Leef Digital, our Partners, and our and their owners, officers, employees, and agents against any claim, loss, penalty, chargeback, or expense (including reasonable legal fees) arising from your breach of these Terms or any Offer Terms, your Media, your traffic, or the acts of anyone sending traffic on your behalf.

The network, offers, and tracking are provided "as is." We do not guarantee any level of earnings or that tracking will be uninterrupted or error-free. To the fullest extent the law allows, we are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, and our total liability to you for all claims is limited to the commissions we paid you in the 6 months before the claim arose.

15

Termination

You may leave the network at any time by notifying us and removing all of our links from your Media. We may suspend or remove you from an offer or from the network at any time, with or without notice. When participation ends, you must stop using our links, creative, and Partner materials immediately. Commissions validly earned before termination will be paid on the normal schedule, subject to Sections 7 and 8. Sections 7 through 14 and 16 survive termination.

16

Changes and general terms

We may update these Terms by posting a new version on this page and emailing you. Changes take effect 10 business days after notice, or immediately where a Partner or the law requires it. If you continue running offers after that, you accept the update.

You are an independent contractor; these Terms create no partnership, employment, or agency. You may not assign these Terms without our written consent. These Terms, the Offer Terms, and our Privacy Policy are the entire agreement between us about the network. If any part is unenforceable, the rest remains in effect. These Terms are governed by the laws of the State of Texas, and any dispute will be brought in the state or federal courts located there.
